1. Acceptance of Terms

By accessing and using SGA AlgoTrader Pro (the "Platform"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and SGA Investments ("Company," "we," "our," or "us").

2. Platform Description

SGA AlgoTrader Pro is a professional algorithmic trading platform that provides:

• Real-time market data and technical analysis tools
• Automated trading signal generation and execution
• Multi-broker connectivity (Bybit, MetaTrader 5, Hyperliquid, etc.)
• Backtesting and strategy optimization features
• Risk management and position monitoring systems
• Market scanning and watchlist management

The Platform is provided as a software service and does not constitute financial advice, investment recommendations, or brokerage services.

3. Eligibility and Account Registration

3.1 Age and Legal Capacity

You must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform by applicable law
• Not be located in a jurisdiction where the Platform's services are restricted

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Implementing multi-factor authentication (MFA) when available
• Notifying us immediately of unauthorized access

4. Trading Risks and Disclaimers

4.1 No Financial Advice

The Platform provides technical analysis tools and automated trading execution but does NOT:

• Provide investment, financial, tax, or legal advice
• Guarantee profits or prevent losses
• Act as a registered investment advisor or broker-dealer
• Make personalized recommendations based on your financial situation

4.2 User Responsibility

You acknowledge and agree that:

• You are solely responsible for your trading decisions and outcomes
• You have sufficient knowledge and experience to use automated trading systems
• You should consult licensed professionals before trading
• You accept all financial risks associated with trading activities

4.3 System Risks

Automated trading systems are subject to:

• Technical failures, bugs, or connectivity issues
• Market volatility and slippage
• Broker outages or order rejections
• Data feed delays or inaccuracies
• Regulatory changes affecting operations

5. User Obligations and Acceptable Use

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Use the Platform for unauthorized automated access or scraping
• Attempt to reverse engineer, decompile, or hack the Platform
• Share your account credentials with others
• Use the Platform to manipulate markets or engage in fraud
• Overload our systems with excessive API requests
• Circumvent security measures or rate limits
• Resell or redistribute Platform access without authorization

6. Broker Connectivity and Third-Party Services

6.1 Third-Party Brokers

The Platform integrates with third-party brokers (Bybit, MT5, Hyperliquid, etc.). You acknowledge that:

• We do not control broker operations, pricing, or order execution
• You must comply with each broker's terms of service
• Broker API credentials are encrypted but transmitted at your own risk
• We are not liable for broker outages, errors, or disputes

6.2 Market Data Providers

Market data is sourced from third-party providers and may be subject to:

• Delays, inaccuracies, or interruptions
• Provider terms of use and licensing restrictions
• Additional fees for real-time or premium data (if applicable)

7. Fees and Payments

7.1 Platform Fees

Access to certain Platform features may require subscription fees or usage-based charges:

• Subscription fees are billed monthly or annually as selected
• Fees are non-refundable except as required by law
• We may change pricing with 30 days advance notice
• Taxes are your responsibility unless otherwise stated

7.2 Payment Processing

Payments are processed through secure third-party providers. You authorize us to charge your payment method for all applicable fees.

8. Intellectual Property Rights

8.1 Platform Ownership

All Platform content, features, algorithms, and technology are owned by SGA Investments and protected by:

• Copyright, trademark, and patent laws
• Trade secret protections
• International intellectual property treaties

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Platform for personal trading purposes. This license does not include rights to:

• Copy, modify, or distribute Platform software
• Create derivative works or competing products
• Sublicense or resell Platform access

8.3 User-Generated Content

You retain ownership of trading strategies, settings, and configurations you create. By using the Platform, you grant us a license to store, process, and display this data as necessary to provide our services.

9. Service Availability and Modifications

9.1 Uptime and Maintenance

We strive for 99.9% uptime but do not guarantee uninterrupted service. The Platform may be unavailable due to:

• Scheduled maintenance (announced 48 hours in advance)
• Emergency security updates
• Infrastructure failures or force majeure events
• DDoS attacks or security incidents

9.2 Feature Changes

We reserve the right to modify, suspend, or discontinue Platform features with reasonable notice. Material changes will be communicated via email and in-app notifications.

You agree to indemnify, defend, and hold harmless SGA Investments, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Platform
• Violation of these Terms or applicable laws
• Infringement of third-party rights
• Your trading activities and decisions

12. Termination

12.1 User Termination

You may terminate your account at any time through Platform settings or by contacting support. Termination does not entitle you to refunds for unused subscription periods.

12.2 Company Termination

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activities
• Fail to pay applicable fees
• Pose a security risk to the Platform

12.3 Effect of Termination

Upon termination:

• Your license to use the Platform immediately ends
• All active trading automation will cease
• We retain your data per our Privacy Policy retention periods
• You remain liable for obligations incurred before termination

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, contact us at [email protected] to seek informal resolution. We commit to good-faith negotiations for 30 days.

13.2 Arbitration Agreement

Any disputes not resolved informally shall be settled by binding arbitration under the rules of the American Arbitration Association (AAA), except:

• Small claims court actions (up to jurisdictional limits)
• Intellectual property disputes
• Injunctive relief requests

13.3 Class Action Waiver

You agree to resolve disputes individually. Class actions, class arbitrations, and representative actions are prohibited unless required by law.

14. Governing Law and Jurisdiction

You may not assign your account or these Terms. We may assign our rights to affiliates or successors.
